Rechtsgrundlagen der Verarbeitung

• die Verarbeitung ist zur Wahrung der berechtigten Interessen des Anbieters oder eines Dritten erforderlich.

In jedem Fall erteilt der Anbieter gerne Auskunft über die konkrete Rechtsgrundlage, auf der die Verarbeitung beruht, insbesondere darüber, ob die Angabe personenbezogener Daten eine gesetzliche oder vertragliche Verpflichtung oder eine Voraussetzung für den Abschluss eines Vertrages ist.

Ort
Die Daten werden in der Niederlassung des Anbieters und an allen anderen Orten, an denen sich die an der Datenverarbeitung beteiligten Stellen befinden, verarbeitet.
Je nach Standort der Nutzer können Datenübertragungen die Übertragung der Daten des Nutzers in ein anderes Land als das eigene beinhalten. Speicherdauer

FREZZOR TERMS & CONDITIONS

Welcome www.FREZZOR.com and its Brand Partner Affiliate site www.teamfrezzor.com websites (The “Site”). FREZZOR, Inc. (Hereafter “We”, “Our”, “Us” Or “FREZZOR”) provides services to you subject to the Notices, Terms, and Conditions set forth in this Agreement (The “Agreement”). In addition, when you use any FREZZOR services you will be subject to the Rules, Guidelines, Policies, Terms and Conditions applicable to such service, and they are incorporated into this Agreement by this Reference. We maintain the right to change this Site and these Terms and Conditions at any time. You are responsible for regularly reviewing this Agreement. Continued use of the Service after any such changes shall constitute your consent to such changes.

ORDERS
FREZZOR charges sales tax for merchandise ordered on this Site based on the applicable sales tax rate to the location to which the order is being shipped. Orders cannot be changed or cancelled once submitted. All returns of merchandise are subject to the FREZZOR Return Policy posted on this Site.

ERRORS & OMISSIONS
In the event a product is listed at an incorrect price or with incorrect information due to a typographical error or error in pricing or product information, we shall have the right to refuse or cancel any orders placed for product listed at the incorrect price. FREZZOR shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, FREZZOR shall immediately issue a credit to your credit card account in the amount of the charge.

FREZZOR BRAND PARTNERS
By joining FREZZOR as a BRAND PARTNER, you acknowledge and agree that you are an Independent Contractor. You are not an employee, legal representative, or franchisee of FREZZOR. You agree that you will be solely responsible for paying all expenses incurred by myself, including but not limited to travel, food, lodging, secretarial, office, long distance telephone and other expenses. AS SUCH, YOU UNDERSTAND THAT YOU SHALL NOT BE TREATED AS AN EMPLOYEE OF FREZZOR FOR FEDERAL OR STATE TAX PURPOSES. FREZZOR is not responsible for withholding, and shall not withhold or deduct from my bonuses and commissions, if any, FICA, or taxes of any kind.

You have the right to offer for sale FREZZOR products and services, and the right to Enroll other Independent BRAND PARTNERS in FREZZOR in accordance with these Terms and Conditions. You understand and agree that you must be active and qualified pursuant to the FREZZOR Compensation Plan in order to have the right to earn commissions. You understand and agree that you must be in good standing, and not in violation of the Agreement, to be eligible for bonuses or commissions from FREZZOR and that FREZZOR may amend its Compensation Plan, at its sole discretion and you agree to abide by all such amendments. Notification of any and all amendments shall be posted on FREZZOR’s website and shall become effective 30 days after publication. Your continuation as a FREZZOR BRAND PARTNER or your acceptance of bonuses or commissions shall constitute my acceptance of any and all amendments.

If you choose not to renew your membership as a FREZZOR BRAND PARTNER, or if it is canceled or terminated for any reason, you understand that you will permanently lose all rights as a FREZZOR BRAND PARTNER, and shall not be eligible to sell FREZZOR products and services, nor shall you be eligible to receive commissions, bonuses, or other income resulting from the activities of your former sales organization. FREZZOR reserves the right to terminate all BRAND PARTNER Agreements upon 30 days notice if the Company elects to: (1) cease business operations; (2) dissolve as a business entity; or (3) terminate distribution of its products and/or services via direct selling channels. BRAND PARTNERS may cancel this Agreement at any time, and for any reason, upon written notice to FREZZOR at its principal business address.

You agree that FREZZOR may deduct, withhold, set-off, or charge to any form of payment I have previously authorized, any amounts I owe or am indebted to FREZZOR.

FREZZOR, its parent or affiliated companies, directors, officers, shareholders, employees, assigns, and agents (collectively referred to as “affiliates”), shall not be liable for all claims for consequential and exemplary damages for any claim or cause of action relating to the Agreement. I further agree to release FREZZOR and its affiliates from all liability arising from or relating to the promotion or operation of your FREZZOR business and any activities related to it (e.g., the presentation of FREZZOR products or Compensation Plan, the operation of a motor vehicle, the lease of meeting or training facilities, etc.), and agree to indemnify FREZZOR for any liability, damages, fines, penalties, or other awards arising from any unauthorized conduct that I undertake in operating my business.

CUSTOMER SALES AGREEMENT
Customers accept this as a Sale Agreement with FREZZOR by making a purchase, placing an order, or otherwise shopping on the Site, by telephone, facsimile or otherwise. (References to “you” or “your” shall relate to the Customer; references to “FREZZOR” shall relate to FREZZOR and its BRAND PARTNERS.) The Terms and Conditions of this Sale Agreement are subject to change without prior notice, except that the Terms and Conditions posted on the Site at the time the Customer initially places or modifies an order will govern the order in question.

This Sale Agreement constitutes the entire agreement between the Customer and FREZZOR relating to the purchase or sale of goods or services on the Site. The Sale Agreement may only be modified or terminated with regard to goods or services that have been purchased or sold on the Site in a writing signed by FREZZOR. In the event of any conflict between the Terms and Conditions stated on your purchase order and this Sale Agreement or any Terms and Conditions on your invoice, you agree that the provisions of this Sale Agreement and our invoice shall control.

SUBMISSIONS
Except as otherwise provided elsewhere in this Agreement or on the Site, anything that you willingly submit to FREZZOR or participate in at a FREZZOR event or meeting, including without limitation, photos, videos, testimonials, marketing tools, questions, reviews, comments, and suggestions (collectively, “Submissions”) is and will be treated as non-confidential and nonproprietary, and we shall have the royalty-free, worldwide, perpetual, irrevocable and transferable right to use, copy, distribute, display, publish, perform, sell, lease, transmit, adapt, create derivative works from such Submissions by any means and in any form, and to translate, modify, reverse- engineer, disassemble, or decompile such Submissions. All Submissions shall automatically become our sole and exclusive property and shall not be returned to you.

In addition to the rights applicable to any Submission, when you post comments or reviews to the Site, you also grant us the right to use the name that you submit with any review, comment, or other Content, if any, in connection with such review, comment, or other content. You represent and warrant that you own or otherwise control all of the rights to the reviews, comments and other Content that you post on this Site or allow FREZZOR to use on its site or Marketing Materials and that use of your reviews, comments, or other Content by us will not infringe upon or violate the rights of any third party. You shall not use a false e-mail address, pretend to be someone other than yourself or otherwise mislead us or third parties as to the origin of any Submissions or Content. We may, but shall not be obligated to, remove or edit any Submissions (including comments or reviews).

DISPUTES
This Agreement will be governed by and construed in accordance with the laws of the State of California without regard to principles of conflicts of laws. In the event of a dispute between a BRAND PARTNER and FREZZOR arising from or relating to the Agreement, or the rights and obligations of either party, the parties shall attempt in good faith to resolve the dispute through nonbinding mediation as more fully described in the Policies and Procedures. FREZZOR shall not be obligated to engage in mediation as a prerequisite to disciplinary action against a BRAND PARTNER. If the parties are unsuccessful in resolving their dispute through mediation, the dispute shall be settled totally and finally by arbitration as more fully described in the Policies and Procedures. Notwithstanding the foregoing, FREZZOR shall be entitled to bring an action before the State or Federal Courts, seeking a restraining order, temporary or permanent injunction, or other equitable relief to protect its intellectual property rights, including but not limited to customer and/or distributor lists as well as other trade secrets, trademarks, trade names, patents, and copyrights.

LIMITATION OF LIABILITY
IN NO EVENT SHALL EITHER PARTY BE LIABLE TO ANYONE FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH THIS SITE, INCLUDING BUT NOT LIMITED TO THE USE OR INABILITY TO USE THE SITE, OR FOR ANY CONTENT OBTAINED FROM OR THROUGH THE SITE, ANY INTERRUPTION, INACCURACY, ERROR OR OMISSION, REGARDLESS OF CAUSE IN ANY INFORMATION CONTAINED HEREIN, EVEN IF THE PARTY FROM WHICH DAMAGES ARE BEING SOUGHT HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Certain states and/or jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental, consequential or certain other types of damages, so the exclusions set forth above may not apply to you.

Company may give notice by means of a general notice on the www.FREZZOR.com or www.teamfrezzor.com Site, electronic mail to your e-mail address on record in FREZZOR’s account information, or by written communication sent by first class mail or pre-paid post to your address on record in Company's account information. Such notice shall be deemed to have been given upon the expiration of 48 hours after mailing or posting (if sent by first class mail or pre-paid post) or 24 hours after sending (if sent by e-mail). FREZZOR NUTZUNGSBEDINGUNGEN

1. Allgemeines

1.1. Die nachstehenden Nutzungsbedingungen sind Bestandteil eines jeden Kaufvertrages zwischen der FREZZOR INC, 140 Newport Center Drive Suite 100, Newport Beach, CA 92660, USA (im folgenden Text FREZZOR genannt), vertreten durch deren Geschäftsführer Noel Turner, geschäftsansässig unter der gleichen Adresse und dem Kunden.

1.2.Wir empfehlen, sowohl die AGB, als auch die Nutzungsbedingungen sorgfältig durchzulesen, bevor Sie eine der FREZZOR-Webseiten nutzen. Diese können www.frezzor.com oder www.teamfrezzor.com/... mit angehängter Webalias (Text nachfolgend dem Schrägstrich) sein. Durch die Nutzung der Webseite erklären Sie sich mit diesen Nutzungsbedingungen einverstanden. Eine Nutzung dieser Websiten ist ausschließlich aufgrund dieser Nutzungs¬bedingungen zulässig.

1.3 Die Firma FREZZOR behält sich das Recht vor, jederzeit Änderungen der Nutzungsbedingungen zu veranlassen und durchzuführen.

1.4. Folgen unzulässiger Nutzung: Unbeschadet sonstiger Rechte behält sich FREZZOR das Recht vor, Bestellungen des Nutzers zu streichen und/oder dem Nutzer den Zugriff auf die FREZZOR-Website zu untersagen, wenn der Nutzer gegen diese Nutzungsbedingungen verstößt.

1.5 Die Präsentation der Produkte auf der Webseite und insbesondere im Internet, stellt noch kein bindendes Angebot von FREZZOR dar.

1.6. Der Kunde kann aus dem Angebot beliebig aussuchen und Produkte dem Warenkorb mittels eines Links “In den Warenkorb legen“ hinzufügen. Der Kunde kann den Warenkorb jederzeit wieder leeren, indem er die Anzahl der ausgewählten Produkte auf „0“ setzt oder auf “Artikel entfernen“ klickt. Die Änderungen können mittels Maus und Tastatur vorgenommen werden. Durch Anklicken des Buttons "KASSE" wird der Kunde auf eine Seite weitergeleitet, in der er sich als Kunde registrieren kann, sofern er noch über keine Zugangsdaten verfügt, oder der Kunde kann sich als bestehender Kunde einloggen indem er auf den Button „Anmeldung fortsetzen“ klickt. In Folge werden Versandinformationen, Name und Zahlungsinformationenen des Kunden, ein Benutzername und ein Kennwort, eingegeben. Nach erfolgter Registrierung und Bestätigung der Lieferadresse wird der Bestellvorgang durch Betätigung des Buttons “JETZT BESTELLEN“ abgeschlossen. Durch das Abschicken der Bestellung gibt der Kunde ein verbindliches Angebot zum Kauf der im Warenkorb befindlichen Waren ab und akzeptiert die AGB. Der Eingang der Bestellung wird dem Kunden unmittelbar nach Abschluss des Bestellvorgangs angezeigt. FREZZOR speichert sowohl die Bestellung als auch die vom Kunden eingegebenen Bestelldaten.

1.7.Der Kunde wird über den Eingang der Bestellung per Email informiert. Hierbei handelt es sich um keine verbindliche Annahme der Bestellung. Der Vertrag kommt erst mit Versand einer gesonderten Auslieferungsbestätigung per E-Mail oder mit dem Versand der Ware zustande.

1.8. Die Sprache, die für den Abschluss und die Abwicklung eines Kaufvertrages verwendet wird, kann vom Kunden ausgewählt werden. Im deutschsprachigen Raum wird der Bestellvorgang automatisch in deutscher Sprache angezeigt.

2. Registrierung

2.1. Auf der FREZZOR Webseite gibt es auch passwortgeschützte Seiten. Nur Nutzer, die sich vorher registriert haben, haben Zugang zu diesen Seiten. Eine Registrierung bei FREZZOR erfordert ein Mindestalter von 18 Jahren und verpflichtet den Nutzer dazu, wahrheitsgemäße Angaben zu machen.

2.2. Der Nutzer trägt alleine die Verantwortung für die Sicherheit seines Passwortes, welches nicht an Dritte weitergegen werden darf. Sollte das Passwort dennoch in den Besitz Unbefugter geraten ist der Nutzer aufgefordert, sein Passwort sofort zu ändern.

2.3. Mit der Registrierung als FREZZOR Teampartner oder Kunde, akzeptiert dieser die AGB, Datenschutzrichtlinien und Nutzungsbedingungen.

3. Lieferbedingungen / Versandkosten innerhalb der EU / Preise

3.1. Sofern nicht anders vereinbart, erfolgt die Lieferung der Ware von unserem Lager an die von Ihnen bekannt gegebene Adresse.

3.2. FREZZOR übernimmt keine Verantwortung für eine reibungslose Abwicklung und direkte Anlieferung durch den Paketdienst ab Zeitpunkt der Übergabe des Paketes an den Paketdienst.

3.3. Sollten nicht alle bestellten Produkte vorrätig sein, sind wir zu Teillieferungen berechtigt, soweit dies für den Kunden zumutbar ist.

3.4 Die Lieferung bestellter Waren erfolgt vorbehaltlich der Verfügbarkeit der Ware. Ist diese zum Bestellzeitpunkt nicht lieferbar, erhält der Besteller eine Benachrichtigung und die Bestellung wird durch uns vorgemerkt. Sobald die Ware vorrätig ist, erfolgt der Versand an den Besteller, ohne dass eine weitere Benachrichtigung an den Besteller erfolgt.

3.5. Die Lieferung erfolgt innerhalb von 3-10 Arbeitstagen, wobei als Arbeitstage Montag bis Freitag, mit Ausnahme von Feiertagen, anzusehen sind. Die Frist beginnt mit dem Vertragsschluss und kann pro Land und Versandart variieren. Bitte beachten Sie auch, dass der Paketdienst bei nicht Antreffen des Bestellers oder einer vom Besteller beauftragten Person, berechtigt ist das Paket in einem Paketshop in Ihrer Nähe zu hinterlegen.

3.6. Versandkosten: Bis 89 Euro zahlt ein Käufer pro 1-2 Artikel 7 €, pro 2-3 Artikel 8 €, pro 4-5 Artikel 9 €, pro 6-7 Artikel 10 €, pro 8-9 Artikel 11 €. Für alle angegebenen Versandpreise gilt, dass die gesetzliche Umsatzsteuer in diesen Versandpreisen nicht inkludiert ist. Ab einem Bestellwert von 90 Euro wird der Versand von FREZZOR an den Kunden kostenfrei zur Verfügung gestellt.

3.7. Wenn ein Kunde einen Mangel an der Ware feststellt, ist dieser aufgefordert FREZZOR unverzüglich darüber zu informieren. Wenn diese Anzeige nicht gemacht wird, gilt die Ware als vom Kunden genehmigt. Handelt es sich um einen Mangel, der vorerst nicht erkennbar war und zeigt sich dieser erst später, so muss die Anzeige unverzüglich nach der Entdeckung gemacht werden. Anderenfalls gilt auch in diesem Fall die Ware als genehmigt.

3.8. Eigentumsvorbehalt: Die Ware bleibt bis zur vollständigen Bezahlung im Eigentum von FREZZOR.

4. Zahlungsbedingungen

4.1. Ein Nutzer hat die Möglichkeit eine Zahlungsart zu wählen und die Bezahlung für den Einkauf entweder über Kreditkarte oder PayPal zu tätigen. Bei Bezahlung über die Zahlungsart “PayPal“ erfolgt eine Abtretung der Kaufpreisforderung an PayPal (Europe). Die zur Zahlungsabwicklung erforderlichen Daten werden vom Kunden an PayPal übermittelt. Bitte entnehmen Sie Detailnformationen hierzu den Datenschutzbestimmungen von PayPal.

4.2. Alle im Onlineshop angezeigten Preise sind exklusive der gesetzlichen Umsatzsteuer und Versandkosten zu verstehen. Die gesetzliche Umsatzsteuer und die Versandkosten werden an der Kasse berechnet.

4.3. Alle Versandkosten, insbesondere Verpackung, Transportkosten, Transportversicherung und Zustellungen erfolgen, sofern nicht gesondert etwas anderes vereinbart ist, auf Kosten des Kunden.

AGB für FREZZOR Brand-Partner der FREZZOR Inc.

Geltungsbereich und Verhaltenskodex
1. Willkommen bei www.FREZZOR.com und der Brand-Partner-Webseiten www.teamfrezzor.com ("Site", “Webseite(n)“, “Seite(n)“). FREZZOR, Inc. (im Folgenden "Wir", "Unser", "Uns" oder "FREZZOR") erbringt Dienstleistungen für Sie gemäß den in dieser Vereinbarung enthaltenen Bekanntmachungen, Bedingungen und Vereinbarungen. Die nachstehenden Geschäftsbedingungen für FREZZOR Brand-Partner sind Bestandteil eines jeden Vertrages zwischen FREZZOR, 140 Newport Center Drive Suite 100, Newport Beach, CA 92660 USA vertreten durch deren Geschäftsführer Noel Turner, geschäftsansässig unter der gleichen Adresse und dem unabhängigen selbstständig tätigen Brand-Partner (im folgende Text auch BP genannt) /Distributor/Sponsor. Bei dem Vertrieb unserer Produkte und dem Kontakt mit anderen Menschen, ist uns ein respektvoller Umgang und ein freundliches Miteinender in Sinne von Networkmarketing sehr wichtig und für uns hat stets die Verbraucherfreundlichkeit und -sicherheit, Seriosität und Integrität oberste Priorität um ein faires Miteinander und das Einhalten von Regeln und Gesetzen weitestmöglich zu garantieren.
2. Wenn Sie FREZZOR-Angebot nutzen, unterliegen Sie den Regeln, Richtlinien und Bedingungen, die für dieses Anbgebot gelten, und diese werden durch diesen Verweis in diesem Vertrag aufgenommen. Wir behalten uns das Recht vor, diese Webseite, BP-Webseiten und diese Nutzungsbedingungen jederzeit zu ändern. Sie sind dafür verantwortlich, diese Vereinbarung regelmäßig zu überprüfen.
DURCH ZUGRIFF, DURCHSUCHEN ODER VERWENDEN DER FREZZOR WEBSEITEN BESTÄTIGEN SIE, DASS SIE ALLEN BEDINGUNGEN DIESER VEREINBARUNG ZUSTIMMEN. VOR DEM VERTRAGSVERFAHREN EMPFEHLEN WIR, DIESE VEREINBARUNG SORGFÄLTIG ZU LESEN!
3. Grundlage dieses zwischen der FREZZOR und dem BP abgeschlossenen Vertrages sind diese Allgemeinen Brand-Partnerpartnerbedingungen und der Vergütungssplan, welche der BP zur Kenntnis genommen und verstanden hat und als rechtlich verbindlich anerkennt.
3. Frezzor wird erhobene Daten nur weitergeben, wenn Dritte – insbesondere Lieferanten - in unserem Auftrag Daten verarbeiten, das Gesetz dazu verpflichtet oder der betreffende Kunde seine Einwilligung hierzu gegeben hat. Bei der Registrierung zur Aufnahme eines Vertragsverhältnisses mit Frezzor gibt uns der Kunde oder Teampartner Daten (Vor- und Nachname, Liefer- und Rechnungsanschrift, Geburtsdatum, Email-Adresse, Telefonnummern, Bankverbindungsdaten) bekannt, welche von uns gespeichert werden.
4. Verhaltenskodex für selbständige FREZZOR BP: Als selbständiger BP versichere ich,

• dass ich während meiner Tätigkeit als BP von FREZZOR respektvoll, ehrlich und fair sein werde und mit meiner Tätigkeit für FREZZOR den guten Ruf von FREZZOR unterstützen werde;
• dass ich meiner etwaigen Führungsverantwortung als sogenannte Upline meiner BP meines Brand-Partner-Systems (Downline/Aroundline) durch Schulung und Informationsaustausch und anderweitige Unterstützung der BP in meinem System nachkommen werde;
• dass ich die Beziehung eines jeden BPs zu seiner Upline in der FREZZOR Organisation anerkennen werde und nicht in diese eingreifen oder zur Veränderung aninieren werde;
• dass ich keine unwahren oder geringschätzigen Behauptungen über andere BP von FREZZOR aufstellen oder äußern werde;
• dass ich die Unternehmensrichtlinien nach besten Möglichkeiten, nicht nur wortgetreu, sondern auch im Sinne der Philosophie von FREZZOR, einhalten werde;
• dass ich keine Behauptungen über die Produkte von FREZZOR aufstellen werde, die nicht in den offiziellen Publikationen von FREZZOR enthalten sind oder unwahr sind;
• dass ich das gemäß dem Kompensationsplan mögliche Einkommen nicht falsch darstellen werde;
• dass ich nicht betrügerisch oder rechtswidrig handeln werde;
• dass ich andere Unternehmen nicht verunglimpfen werde, um deren BP als BP abzuwerben;
• dass ich meine Kunden ehrlich und aufrichtig beraten werde und zur Klärung etwaiger auftretender Missverständnisse zu unseren Produkten, Verdienstmöglichkeiten oder anderen Aussagen, die während eines Beratungsgesprächs auftreten, beitragen werde;
• dass ich als BP keine Behauptungen über Produkte, deren Preise oder Vertragskonditionen aufstellen, sofern diese nicht von FREZZOR freigegeben worden sind.
• dass ich keine Angaben im Hinblick auf meine Vergütung oder die potenzielle Vergütung von anderen Brand-Partnern mache. Weiterhin darf ich keine Vergütungen garantieren, versprechen oder sonstige Erwartungen schüren.
•  dass ich stets fair und respektvoll mit anderen BP umgehe. Das gilt auch für den Umgang zu Brand-Partnern anderer Wettbewerber oder anderer Network-Marketing-Unternehmen.

1 Brand-Partnervertrag und Brand-Partnerstatus als Unternehmer
(1) FREZZOR ist ein innovatives Unternehmen, das in den USA, Europa, Australien, Neuseeland und anderen Staaten über ein Brand-Partnernetzwerk hochwertige Nahrungsergänzungsmittel (im folgenden Text: Produkte/Produkten) vertreibt. Ein Vertragsabschluss ist mit juristischen Personen, Kapitalgesellschaften, Personengesellschaften oder natürlichen Personen möglich, die/deren Verantwortliche das 18. Lebensjahr vollendet haben, unternehmerisch tätig sind. Jede natürliche oder juristische Person, Personengesellschaft (z.B. GbR, OHG, KG) und Kapitalgesellschaft (z.B. AG, GmbH, Ltd.) ist lediglich zum Erwerb einer Position innerhalb der Vertriebsstruktur von FREZZOR berechtigt. Pro natürlicher Person, wird nur ein Markenbotschafter/Brand-Partener-Antrag akzeptiert, ebenso wie eine natürliche Person nicht berechtigt ist, sich zusätzlich als Gesellschafter einer Personengesellschaft oder Kapitalgesellschaft zu registrieren.
(2) Indem Sie FREZZOR als BRANDPARTNER beitreten, erkennen Sie an und stimmen zu, dass Sie ein unabhängiger Arbeitsnehmer sind. Sie sind kein Angestellter, Rechtsvertreter oder Franchisenehmer von FREZZOR, außerdem weder Handelsvertreter noch Makler von FREZZOR. Der BP handelt als selbständiger und unabhängiger Unternehmer. Dabei gehen beide Parteien übereinstimmend davon aus, dass der BP zunächst nebenberuflich bei FREZZOR tätig ist.
(3) Sofern eine Kapitalgesellschaft oder eine Personengesellschaft einen BP-Antrag einreicht, sind der entsprechende Handelsregisterauszug über die Registrierung sowie die Umsatzsteueridentifikationsnummer in Kopie vorzulegen. Alle Gesellschafter und ggf. auch die Gesellschafter der Gesellschafter, sofern es sich bei einem Gesellschafter ebenfalls um eine Kapitalgesellschaft oder eine Personengesellschaft handelt, müssen namentlich genannt werden, mindestens 18 Jahre alt sein und den Antrag unterschreiben. Die Gesellschafter sind gegenüber FREZZOR jeweils persönlich haftbar für das Verhalten der Kapitalgesellschaft oder der Personengesellschaft.
(4) Ehepaare und eingetragene Lebenspartnerschaften können sich als einzelner Brand-Partner oder separat mit zwei unabhängigen Brand-Partner-Accounts registrieren, wobei eine separate Registrierung nur bei einer gleichzeitigen Registrierung in derselben Verkaufsorganisation (Downline/Aroundline) möglich ist und jeder BP entweder denselben Enroller haben muss oder ein BP den anderen registriert haben muss. Für den Fall der Entscheidung für einen gemeinsamen Account ist ein Ehepartner/Lebenspartner als designierter Empfänger der Provisionszahlungen festzulegen.
(5) Soweit Bestell- oder Auftragsformulare verwendet werden, gelten diese als Bestandteil des Vertrages.
(6) Der BP kann sich für die Aufnahme seiner Tätigkeit als BP bei FREZZOR online oder offline selber registrieren. Bei der Registrierung ist der BP verpflichtet, den Antrag vollständig und ordnungsgemäß auszufüllen, für den Fall einer offline-Registrierung diese zu unterzeichnen und den Antrag sodann an FREZZOR auf den vorgegebenen Weg zu übermitteln. Zudem akzeptiert der BP, für den Fall einer Online-Registrierung durch entsprechendes aktives Häkchensetzen und für den Fall einer offline-Registrierung durch seine Unterschrift unter dem Antrag, vor Übermittlung des BP-Antrags diese Allgemeinen Vertragspartnerbedingungen als zur Kenntnis genommen zu haben und er akzeptiert dieselben als Vertragsbestandteil. Das Vertragsverhältnis hierüber entsteht durch Freischaltung des Account und des Backoffice-Zugangs des Brand-Partners. Ferner wird dem BP eine ldentifikationsnummer (ID) zugewiesen.
(7) Es bestehen keine Umsatzvorgaben, Abnahme- oder andere Pflichten der Tätigkeit. Der BP unterliegt mit Ausnahme der vertraglichen Pflichten keinen Weisungen von FREZZOR und trägt das vollständige unternehmerische Risiko seines geschäftlichen Handelns, einschließlich der Pflicht zur Tragung seiner sämtlichen geschäftlichen Kosten und der Pflicht zur ordnungsgemäßen Zahlung seiner Arbeitnehmer, sofern dieser Arbeitnehmer beschäftigt. Als FREZZOR BP stimmen zu, dass Sie allein für die Bezahlung aller Ausgaben verantwortlich sind, die von Ihnen selbst getragen werden, einschließlich, nicht aber beschränkt auf Geschäftsreisen, Verpflegung, Unterkunft, Büro, Ferngespräche und andere Ausgaben.
(8) Der FREZZOR BP ist als selbständiger Unternehmer für die Einhaltung der einschlägigen gesetzlichen Bestimmungen einschließlich der steuer- und sozialrechtlichen Vorgaben (z.B. Einholung einer Umsatzsteueridentifikationsnummer oder Anmeldung seiner Arbeitnehmer bei der Sozialversicherung, wie auch für die Erlangung einer Gewerbeberechtigung, sofern erforderlich) eigenverantwortlich. Insoweit versichert der FREZZOR BP, alle Provisionseinnahmen, die er im Rahmen seiner Tätigkeit für FREZZOR erwirtschaftet, an seinem Sitz ordnungsgemäß zu versteuern. FREZZOR behält sich vor, von der vereinbarten Provision die jeweilige Summe für Steuern und Abgaben in Abzug zu bringen bzw. Schadensersatz oder Aufwendungsersatz einzufordern, die der Firma FREEZZOR durch einen Verstoß gegen die vorgenannten Vorgaben erwächst, außer der BP hat den Schaden oder die Aufwendung nicht zu vertreten. Von FREZZOR werden keine Sozialversicherungsbeiträge für den BP entrichtet. Der BP ist nicht bevollmächtigt im Namen von FREZZOR Erklärungen abzugeben oder Verpflichtungen einzugehen.
(9) FREZZOR behält sich das Recht vor, Brand-Partneranträge nach eigenem Ermessen ohne jegliche Begründung abzulehnen. Für den Fall eines Verstoßes gegen die in den AGB geregelten Pflichten, ist FREZZOR ohne vorherige Abmahnung berechtigt, den Brand-Partnervertrag fristlos zu kündigen. Zudem behält sich die FREZZOR für diesen Fall der fristlosen Kündigung die Geltendmachung weiterer Schadensersatzansprüche ausdrücklich vor.

2 Vertragsgegenstand
(1) FREZZOR ist ein Unternehmen, das über ein Brand-Partnernetzwerk hochwertige Nahrungsergänzungsmittel und andere Konsum- und Verbrauchsleistungen (künftig: Produkte) vertreibt. Der FREZZOR BP soll für FREZZOR Produkte durch seine Empfehlung vermitteln, so dass das Erbringen der Vermittlung der Produkte die Grundlage des Geschäfts eines BPs bildet. Für seine Tätigkeit als BP erhält der BP eine entsprechende Vermittlungsprovision aus einem über seine Empfehlung erfolgreichem Verkauf. Für diese Tätigkeit ist es nicht erforderlich, dass der BP über die Registrierungsgebühren (jährlicher Brand-Partner-Beitrag) hinaus finanzielle Aufwendungen tätigt oder eine Mindestanzahl von Produkten durch Empfehlungen verkauft oder andere BP werben muss. Erforderlich ist lediglich die rechtlich einwandfreie Registrierung.
(2) Sie haben das Recht FREZZOR Produkte zu empfehlen und das Recht aber nicht die Pflicht, andere unabhängige BP bei FREZZOR, diesen Allgemeinen Geschäftsbedingungen gemäß, zu werben und einzuschreiben. Sie verstehen und stimmen zu, dass Sie gemäß dem FREZZOR Vergütungsplan qualifiziert sein müssen, um Provisionen zu erhalten. Für diese Tätigkeit erhält der werbende BP bei Erreichen der erforderlichen Qualifikation eine entsprechende Provision auf den Produktumsatz des geworbenen BP. Für die Werbung eines BPs hingegen wird ausdrücklich keine Provision geleistet. Die Provision ebenso wie die Art und Weise der Auszahlung richtet sich nach dem zu diesem Zeitpunkt geltenden Vergütungsplan.
(3) Sie verstehen und stimmen zu, dass Sie in gutem Ansehen sein müssen und nicht gegen den Vertrag verstoßen, um von FREZZOR Boni oder Provisionen erhalten zu können, und dass FREZZOR seinen Vergütungsplan nach eigenem Ermessen ändern kann und Sie sich damit einverstanden erklären diese Änderungen anzuerkennen. Alle Änderungen werden auf der Website von FREZZOR veröffentlicht und treten 30 Tage nach der Veröffentlichung in Kraft. Ihre Fortführung als FREZZOR BRAND PARTNER oder Ihre Annahme von Boni oder Provisionen gilt als Zustimmung zu allen Änderungen.
(4) Der BP hat auch die Möglichkeit, nicht aber die Pflicht, Produkt wieder zu verkaufen ohne dass eine Verpflichtung zum Bezug von Produkten besteht. Durch Zustandekommen des Brand-Partnervertrages erhält der BP das Recht, vom Unternehmen Produkte zu den im Vergütungsplan beschriebenen Vorzugspreisen zu erwerben. Der Einkauf von Produkten, die innerhalb der FREZZOR Produktpalette angeboten werden, erfolgt in diesem Fall nur und ausschließlich direkt bei FREZZOR. Der Produktbezug von und zwischen Brand-Partnern oder anderen Herstellern ist nicht gestattet und berechtigt FREZZOR zur fristlosen Kündigung des Vertrages. Für seine Tätigkeit als Wiederverkäufer behält sich der BP eine entsprechende Marge aus Ein- und Verkaufspreisen je erfolgreichem Wiederverkauf ein.
(5) Für die Aufnahme und Durchführung seiner Tätigkeit stellt FREZZOR dem BP ein Nutzungsrecht an einem Online-Back-Office, das es dem BP ermöglicht, einen stets aktuellen und umfangreichen Überblick über seine Umsätze, Provisionen und die BP - und Downline(Aroundline)-Entwicklungen zu haben, zur Verfügung. Das Nutzungsrecht ist als einfaches auf das konkrete Back Office bezogenes, nicht übertragbares Nutzungsrecht; dem BP steht kein Recht zur Änderung, Bearbeitung oder sonstigen Umgestaltung des Back-Offices ebenso wenig wie kein Recht zur Erteilung von Unterlizenzen zu. Für die Einräumung des Nutzungsrechts und der Wartung (einschließlich der Vornahme von Updates und Upgrades) des Back-Offices erhebt FREZZOR eine jährliche Software-Nutzungsgebühr in Höhe von 50 Euro exklusive gesetzlicher Mehrwertsteuer. Die Gebühr ist jeweils im Voraus zur Zahlung fällig und wird im jeweils gewählten Zahlungsverfahren entweder per SEPA-Lastschrift vom Konto des BPs eingezogen oder von der Kreditkarte abgebucht.

3 Dauer und Beendigung des Vertrages und Folgen der Beendigung /Rückgaberecht
(1) Wenn Sie sich entscheiden, Ihre Mitgliedschaft als FREZZOR Brand-Partner nicht zu verlängern, oder wenn der Vertrag aus irgendeinem Grund gekündigt wird, verlieren Sie dauerhaft alle Rechte als FREZZOR Brand-Partner und sind nicht berechtigt, weder Dienstleistungen in Zusammenhang mit FREZZOR oder FREZZOR-Produkte zu vertreiben, noch sind Sie berechtigt, Provisionen, Boni oder andere Einnahmen aus den Aktivitäten Ihres ehemaligen Verkaufssystems zu erhalten.
(2) Ungeachtet des Kündigungsgrundes haben beide Parteien das Recht, den Brand-Partnervertrag außerordentlich aus einem wichtigen Grund zu kündigen. Ein wichtiger Kündigungsgrund für eine Kündigung durch FREZZOR liegt insbesondere bei einem Verstoß gegen eine der in § 4 geregelten Pflichten, wenn der BP seiner Beseitigungspflicht im Sinne des § 8 Absatzes (1) nicht fristgerecht nachkommt oder es nach der Beseitigung der Pflichtverletzung zu einem späteren Zeitpunkt erneut zu demselben oder einem vergleichbaren Verstoß kommt.
(3) FREZZOR behält sich das Recht vor, alle Brand-Partnerverträge mit einer Frist von 30 Tagen zu kündigen, wenn sich FREZZOR dazu entschließt: 1. den Geschäftsbetrieb einzustellen; 2. sich FREZZOR als Geschäftseinheit auflöst; oder 3. den Vertrieb seiner Produkte und / oder Dienstleistungen über Direktverkaufskanäle zu beenden.
(4) Der Brand-Partnervertrag wird für eine Laufzeit von 12 Monaten vereinbart und kann vom dem BP auch innerhalb dieser Vertragslaufzeit jederzeit mit einer schriftlichen Mitteilung an die Hauptgeschäftsadresse von FREZZOR (siehe Punkt 1 der TP-AGB) per Email oder Post ordentlich gekündigt werden. Der Vertrag verlängert sich mit der Zahlung der Softwarenutzungsgebühr automatisch um weitere 12 Monate. Sofern der BP trotz entsprechender Zahlungsaufforderung durch FREZZOR die vorgenannte Softwarenutzungsgebühr nicht innerhalb von 30 Tagen nach Erhalt der Zahlungsaufforderung zahlt, wird der Vertrag in die „passive Vertragsphase“ ohne Provisionsberechtigung überstellt. Der BP kann nun noch bis zu 12 Monaten nach Ende der Vertragslaufzeit den Vertrag verlängern, wobei für den Fall der Vertragsverlängerung der Provisionsanspruch erst ab dem Zeitpunkt der Verlängerung wieder für die Zukunft auflebt. Wird der Vertrag auch nicht innerhalb dieses Zeitraum verlängert, so wird der Vertrag nach Ablauf dieses Zeitraums automatisch gekündigt.
(5) Ein BP kann sich nach Kündigung seiner alten Position erneut bei FREZZOR registrieren. Voraussetzung ist, dass die Kündigung und die Bestätigung der Kündigung durch FREZZOR für die alte Position des BP mindestens 6 Monate zurückliegen und der kündigende BP in dieser Zeit keine Aktivitäten für FREZZOR verrichtet hat.
(6) Bei vorzeitiger Kündigung eines Vertrages mit Mindestlaufzeit besteht kein Anspruch auf Rückerstattung der entrichteten Gebühren oder sonstiger bereits gezahlter Leistungen, die im Zusammenhang mit dem Brand-Partnervertrag erfolgten, außer der BP hat den Vertrag aus einem wichtigen Grund außerordentlich gekündigt.
(7) Ein BP, welcher seine Tätigkeit beendet, kann die von ihm in den letzten vier Wochen vor dem Ausscheidedatum bestellten und erhaltenen Waren zurückgeben, wenn die Waren inkl. der Verpackung unverkauft, nicht abgelaufen, unbeschädigt und nicht leer sind.
(8) Der BP hat die Waren, welche er zurückgeben will, einzeln aufzulisten und diese Auflistung zusammen mit einem Kaufnachweis an FREZZOR zu übergeben. Nach Genehmigung der Erstattung durch die FREZZOR Inc erhält der BP den ursprünglichen Einkaufspreis abzüglich der hierauf gezahlten Boni, auch an BP in vorrangigen Ebenen erstattet. Die Waren und Verpackungen der Waren müssen in ungeöffnetem, einwandfreien Zustand sein. Andere kostenpflichtige Leistungen von FREZZOR wie z.B. Verkaufshilfen, Schulungskosten oder Eintrittskarten können nicht zurückgegeben werden.
(9) Falls ein BP gleichzeitig andere von dem Brand-Partnervertrag unabhängige Leistungen von FREZZOR beansprucht, bleiben diese Leistungen von der Beendigung des Brand-Partnervertrages unberührt in Kraft. Erwirbt der BP nach der Beendigung des Vertrages weiterhin Leistungen von FREZZOR, so wird er als normaler Kunde geführt.

4 Pflichten des BP im Rahmen der Werbung und Allgemeine Pflichten
(1) Der BP ist verpflichtet, seine persönlichen Passwörter und Login-Kennungen vor dem Zugriff Dritter zu schützen.
(2) Dem BP ist es untersagt, bei seiner Tätigkeit die Rechte oder das Eigentum (einschließlich der technischen Infrastruktur) von FREZZOR, deren BP, verbundener Unternehmen oder sonstiger Dritter zu verletzen, Dritte zu belästigen oder sonst gegen geltendes Recht zu verstoßen. Dem BP ist es insbesondere nicht gestattet, falsche oder irreführende Angaben über FREZZOR Produkte oder das Vertriebssystem zu machen. Der BP wird sowohl im Rahmen seiner Verkaufstätigkeit als auch im Rahmen seiner Strukturarbeit nur solche Aussagen über die Produkte des FREZZOR-Sortiments sowie über das FREZZOR-Vertriebssystem machen, die inhaltlich den Vorgaben in den FREZZOR Werbe- und Informationsmaterialien entsprechen. Ferner ist der Missbrauch oder die Vornahme rechtswidriger Handlungen, wie z.B. die Verwendung ungenehmigter oder unlauterer Werbung (z.B. Heilaussagen zu Produkten, rechtswidrige medizinische oder therapeutische Wirkungen zu Produkten oder gesundheitsbezogene Produktwerbeaussagen) untersagt.
(3) Des Weiteren gilt auch das Verbot des Versendens von unerwünschten Werbe-E-Mails, Werbe-Socialmedia-Nachrichten; Werbe-Faxe oder Werbe-SMS (Spam).
(4) FREZZOR stellt seinen BPn professionelle Homepages zur Verfügung. Eine Verbindung mit Top-Level Domainnamen (wie z.B. frezzor.com, teamfrezzor.com, etc.) ist nur der FREZZOR Inc oder nach Absprache erlaubt um Wettbewerbsvorteile innerhalb der Brand-Partnerschaft zu vermeiden. Eigene Websites von BP müssen ferner die Richtlinien zur Erstellung eigner Websites von FREZZOR beachten. Für den Fall, dass der BP die Leistungen von FREZZOR in anderen Internet Medien wie z.B. sozialen Netzwerken (z.B. Facebook, Instagram), Online Blogs oder Chatrooms bewirbt, darf er stets nur die offiziellen FREZZOR Werbeaussagen verwenden. Ferner muss der BP bei der Bewerbung in anderen Internet Medien ausdrücklich darauf hinweisen, dass es sich nicht um eine offizielle Werbung oder Präsenz von FREZZOR handelt.
(5) Die Werbung in elektronischen Medien und Massenmedien ist nur bedingt gestattet. Der BP darf ohne vorherige schriftliche Genehmigung nicht per TV, Kabel-TV, Radio, Zeitung, oder durch andere Formen von Massenmedien für die Produkte und Leistungen von FREZZOR werben. Die Genehmigung kann im freien Ermessen von FREZZOR ohne jegliche Begründung vorenthalten werden.
(6) Die Produkte von FREZZOR dürfen im Rahmen des geltenden Rechts widerruflich im Face-to-Face-Business, bei Homeparties oder -veranstaltungen oder in Online-Webinaren von den BP vorgestellt und vermittelt oder verkauft werden.
(7) Die Produkte von FREZZOR dürfen im stationären Einzelhandel in Apotheken, Fitness- oder Fingernagelstudios, Naturkostläden und sonstigen vergleichbaren inhabergeführten Einzelhandelsgeschäften vertrieben werden. Die Produkte von FREZZOR dürfen ausdrücklich NICHT in großen stationären Einzelhandelsgeschäften oder Filialketten (wie z.B. Supermarktketten oder Tankstellenketten) vertrieben werden. Sonderaktionen wie Messen oder Promotions bedürfen immer vorab der schriftlichen Genehmigung durch FREZZOR. Hierzu hat der BP eine genaue Aufstellung der geplanten Sonderaktionen sowie Mittel, Art, Dauer und Umfang der jeweiligen Aktion bei FREZZOR schriftlich zur Prüfung und Genehmigung einzureichen. Bei Zuwiderhandlung können laufende Aktionen gestoppt werden.
(8) Dem BP ist es ferner untersagt, im Namen von FREZZOR für oder im Interesse bzw. im Namen des Unternehmens Kredite zu beantragen und aufzunehmen, Ausgaben zu tätigen, Verpflichtungen einzugehen, Bankkonten zu eröffnen, Verträge abzuschließen oder sonstige Willenserklärungen abzugeben.
(9) Sämtliche Präsentations-, Werbe-, Schulungs- und Filmmaterialien etc. (einschließlich der Lichtbilder) von FREZZOR sind urheberrechtlich geschützt. Sie dürfen von dem BP ohne ausdrückliche Einwilligung von FREZZOR über das vertraglich eingeräumte Nutzungsrecht hinaus weder ganz, noch in Auszügen vervielfältigt, verbreitet, öffentlich zugänglich gemacht oder verändert oder bearbeitet werden.
(10) Auch die Verwendung (oder Änderung) des Kennzeichens FREZZOR, TEAMFREZZOR einer der eingetragenen Marken, Produktbezeichnungen, Werktitel und geschäftlichen Bezeichnungen von FREZZOR ist über die ausdrücklich zur Verfügung gestellten Werbematerialien und sonstigen offiziellen FREZZOR Unterlagen hinaus nur mit ausdrücklicher schriftlicher Einwilligung erlaubt. Es ist insbesondere nicht erlaubt, das Kennzeichen FREZZOR, eine der eingetragenen Marken, Produktbezeichnungen, Werktitel und geschäftlichen Bezeichnungen von FREZZOR in identischer, ähnlicher oder abgewandelter Form als Bestandteil der Firma, der E-Mail oder für Einträge in Telefon- und Branchenbüchern zu verwenden. Gleiches gilt für die URL (Universal Ressource Locator = Web-Adresse) sowie die Domain- oder in Subdomain-Namen einer Website. FREZZOR kann die Verwendung von Domainnamen untersagen, falls der Eindruck erweckt wird, dass es sich um die offizielle Homepage der FREZZOR Inc handelt oder wenn sie auf eine andere Weise den guten Sitten widersprechen.
(11) Es ist ferner die Anmeldung eigener Marken, Werktitel oder sonstiger Schutzrechte verboten, die eine/n in einem anderen Land/Gebiet eingetragene oder sonst geschützte Marke, Produktbezeichnung, Werktitel oder geschäftliche Bezeichnung von FREZZOR enthalten. Vorgenanntes Verbot gilt sowohl für identische als auch ähnliche Zeichen oder Waren.
(12) Dem BP ist es nicht erlaubt auf Presseanfragen über FREZZOR deren Leistungen, den FREZZOR Kompensationsplan oder sonstige FREZZOR Leistungen zu antworten. Der BP ist verpflichtet, sämtliche Presseanfragen unverzüglich an FREZZOR weiterzuleiten. Der BP wird sich auch im Übrigen öffentlich (z.B. Fernsehen, Rundfunk, Internetforen) zu FREZZOR, den Waren des FREZZOR Sortiments und zum FREZZOR-Vertriebssystem nur nach vorheriger schriftlicher Zustimmung von FREZZOR äußern.
(13) Der BP darf nur in solchen Staaten Leistungen für FREZZOR bewerben und vertreiben oder neue BP gewinnen, die offiziell von FREZZOR beliefert werden.
(14) Der BP wird Ort, Zeit und Inhalt von Werbeveranstaltungen, die sich an die breite Öffentlichkeit (dies sind Veranstaltungen oder Events mit mindestens 300 Teilnehmern) wenden, rechtzeitig vor Veröffentlichung der Einladung der FREZZOR-Geschäftsleitung melden. FREZZOR kann Änderungen oder auch den Verzicht auf die Veranstaltung verlangen, wenn dies im Interesse des Unternehmens und der FREZZOR -Vertriebsorganisation nebst ihrer Mitglieder erforderlich ist.
(15) Es ist dem BP stets untersagt, eigene Marketing- und/oder Verkaufsunterlagen an andere BP von FREZZOR zu verkaufen oder sonst zu vertreiben.
(16) Der Gebrauch von gebührenpflichtigen Telefonnummern zur Vermarktung der Tätigkeit oder Produkte von FREZZOR ist nicht gestattet. Telefonanrufe darf der BP nicht so entgegennehmen, dass der Eindruck erweckt wird, dass der Anrufer den Geschäftssitz oder ein Büro der Firma FREZZOR erreicht hat.
(17) Der BP hat bestellte Waren abzunehmen und für die Anlieferung der Produkte seine aktuelle Anschrift ordnungsgemäß zur Verfügung zu stellen. Für jeden einzelnen Fall einer durch den BP verschuldeten Retoure einer Warenlieferung, ist FREZZOR zur Erhebung der Rücksendekosten in Höhe von in der Regel 7,00 € berechtigt und wird die Rücksendekosten mit den nächst folgenden Provisionsanspruch des BP verrechnen, soweit dies möglich ist.

5 Vergütung, Zahlungs- und Provisionsbedingungen
(1) Als Vergütung für seine Tätigkeit erhält der BP bei Erreichen der erforderlichen Qualifikationen Provisionen sowie andere Vergütungen, die sich einschließlich der jeweiligen Qualifikationsanforderung aus dem FREZZOR Vergütungsplan ergeben. Sämtliche Provisionsansprüche ergeben sich aus dem jeweils gültigen Kompensationsplan, den der BP auf seiner persönlichen Webpage abrufen kann.Mit der Zahlung der Vergütung sind alle Kosten des BPs für die Aufrechterhaltung und Durchführung seines Geschäftes, soweit sie nicht gesondert vertraglich vereinbart sind, abgedeckt.
(2) Die geleisteten Vergütungen im Sinne des (1) sind zunächst als Provisionsvorschuss in Höhe von 100 % der zu leistenden Vergütung zu verstehen. Erfolgt nach Abschluss des vermittelten Geschäfts ein Storno dieses Geschäftes oder gibt ein BP aus der Downline eines Sponsors im Rahmen der Abwicklung von Rückgaberechten nach Maßgabe dieser Allgemeinen Brand-Partnerbedingungen verprovisionierbare Leistungen an FREZZOR zurück, so wird FREZZOR das Konto des BPs durch Rückforderung des Provisionsvorschusses belasten, die dieser im Rahmen seiner Vermittlungstätigkeit auf Grund der Vermittlung dieser Waren oder Leistungen bezogen hatte.
(3) FREZZOR rechnet über den Provisionsanspruch sowohl wöchentlich, als auch monatlich (Poolprovisionen) ab. Fehlerhafte Vergütungen bzw. Provisionsvorschüsse oder sonstige Zahlungen sind FREZZOR binnen 60 Tagen der fehlerhaften Zahlung schriftlich mitzuteilen. Nach diesem Zeitpunkt gelten die Vergütungen bzw. Provisionsvorschüsse oder sonstige Zahlungen als genehmigt.
(4) Die Abrechnung der Provision erfolgt netto und ohne Umsatzsteuer, es sei denn der BP teilt FREZZOR schriftlich sowie unter Angabe seiner aktuellen Umsatzsteuer-ID wie auch der Vorlage einer Bestätigung des für ihn zuständigen Finanzamtes mit, dass er zum Vorsteuerausweis berechtigter Unternehmer im Sinne des Umsatzsteuergesetzes ist.
(5) Provisionen und Boni des BPs können, soweit ein abweichendes Konto nicht ausdrücklich gesondert durch FREZZOR schriftlich akzeptiert wurde, nur auf Konten ausbezahlt werden, die auf seinen Namen oder einer Personengesellschaft oder einer juristischen Person des BPs lauten, die in einem Vertragsverhältnis mit der FREZZOR stehen. Auszahlungen auf fremde Konten oder an eine Bankverbindung, die sich außerhalb des Staates befindet, in dem der Partner registriert ist, können nicht vorgenommen werden.
(6) FREZZOR ist zur Geltendmachung eines Zurückbehaltungsrechtes im Rahmen der gesetzlichen Vorgaben berechtigt. Für den Fall der Ausübung des Zurückbehaltungsrechts von Provisionsauszahlungen seitens FREZZOR gilt als vereinbart, dass dem BP kein Zinsanspruch für den Zeitraum des Provisionsrückbehaltes zusteht.
(7) Verliert der BP seinen Status als aktiver BP nach Maßgabe des Kompensationsplans, so verfallen für diesen Zeitpunkt die Provisionsansprüche, soweit ausweislich des Kompensationsplans ein Provisionsanspruch von einer besonderen Qualifikation abhängig ist. Dem BP ist es möglich, den Status als aktiver BP durch entsprechende Qualifikation für die Zukunft erneut zu erlangen, jedoch kann der BP seine Position in der Struktur nicht behalten. Wenn ein BP seine Position durch Nichtaktivität in der Brand-Partnerstruktur verliert, hat dieser die Möglichkeit sich abermals neu positionieren zu lassen. Der BP verliert dadurch allerdings seine gesamte bisdahin gebaute Brand-Partnerstruktur, nicht aber seinen persönlichen Kundenstock.
(8) Abtretungen und Verpfändungen von Ansprüchen des BPs aus Brand-Partnerverträgen sind ausgeschlossen, soweit dem Ausschluss kein zwingendes geltendes Recht entgegensteht. Die Belastung des Vertrages mit Rechten Dritter ist nicht gestattet, soweit dem Verbot kein zwingendes geltendes Recht entgegensteht.

6 Geheimhaltung
(1) Der BP hat absolutes Stillschweigen über Geschäfts- und Betriebsgeheimnisse von FREZZOR und über ihre Struktur zu wahren. Zu den Geschäfts- und Betriebsgeheimnissen gehören insbesondere auch die Informationen zu den Downline (Aroundline)-Aktivitäten und die darin enthaltenen Informationen, die BP - und Vertragspartnerdaten ebenso wie die Informationen über Geschäftsbeziehungen von FREZZOR und seiner verbundenen Unternehmen mit seinen Anbietern, Herstellern und Lieferanten. Diese Verpflichtung dauert auch nach Beendigung des Brand-Partnervertrages fort.

7 Brand-Partnerschutz / Crosslinesponsoring / Bonusmanipulation
(1) Jenem aktiven BP, der einen neuen BP erstmals für einen Vertrieb der Produkte von FREZZOR gewinnt, wird der neue BP in seine Struktur nach Maßgabe des Kompensationsplans und der dort geregelten Platzierungsvorgaben zugewiesen (Brand-Partnerschutz), wobei das Datum und die Uhrzeit des Eingangs des Registrierungsantrages von dem neuen BP bei FREZZOR für die Zuteilung gelten. Die Möglichkeit der Änderung der „Platzposition“ eines gesponserten BPs ist nicht möglich.
(2) Des Weiteren ist das Crosslinesponsoring und auch der Versuch dessen innerhalb des Unternehmens untersagt. Crosslinesponsoring bedeutet das Akquirieren einer natürlichen oder juristischen Person oder einer Personengesellschaft, die bereits BP bei FREZZOR in einer anderen Vertriebslinie ist oder innerhalb der letzten 6 Monate einen Brand-Partnervertrag hatte. Untersagt ist insoweit auch, den Namen des Ehepartners, Verwandtschaft, Handelsnamen, Kapitalgesellschaften, Personengesellschaften, Treuhandgesellschaften oder sonstiger Dritter zu verwenden, um diese Bestimmung zu umgehen.
(3) Bonusmanipulationen sind untersagt. Hierzu gehören insbesondere das Sponsern von BP, die tatsächlich das FREZZOR Geschäft gar nicht ausüben (sog. Strohmänner), ebenso wie offene oder verschleierte Mehrfachregistrierungen, soweit dies untersagt ist. Untersagt ist insoweit auch, den Namen des Ehepartners, Verwandtschaft, Handelsnamen, Kapitalgesellschaften, Personengesellschaften, Treuhandgesellschaften, oder sonstiger Dritter zu verwenden, um diese Bestimmung zu umgehen. Ebenfalls ist es untersagt, Dritte zum Absatz oder Einkauf von Waren zu veranlassen, um hierdurch eine bessere Position im Kompensationsplan zu erreichen, den Gruppenbonus zu manipulieren oder sonst eine Bonusmanipulation herbeizuführen.
(4) Dem BP steht kein Anspruch auf Gebietsschutz zu. Das heißt, ein FREZZOR BP ist nicht berechtigt Anspruch auf alleiniges Verkaufsrecht in einer bestimmten Region zu erheben oder dieses in Anspruch zu nehmen.

8 Abmahnung, Verstoß gegen AGB
(1) Bei einem ersten Verstoß gegen die in §4 geregelten Pflichten des BP s erfolgt eine schriftliche Abmahnung durch die FREZZOR unter Setzung einer Frist von 10 Tagen zur Behebung der Pflichtverletzung. Der BP verpflichtet sich, die Abmahnkosten, insbesondere die für die Abmahnung anfallenden Anwaltskosten, zu ersetzen.
(2) Kommt es nach Ablauf der durch die Abmahnung gesetzten Behebungsfrist erneut zu demselben oder einem kerngleichen Verstoß oder wird der ursprünglich abgemahnte Verstoß nicht beseitigt, so wird unmittelbar eine angemessene, in das Ermessen von FREZZOR und im Streitfall durch das zuständige Gericht zu prüfende Vertragsstrafe fällig. Für die Geltendmachung der Vertragsstrafe fallen zudem weitere Anwaltskosten an, die der BP zu ersetzen verpflichtet ist.
(3) FREZZOR ist bei einem besonders schweren Verstoß gegen die Brand-Partner-AGB oder sonstiges geltendes vertragliches oder gesetzliches Recht ohne vorherige Abmahnung zur außerordentlichen Kündigung berechtigt.

9 Übertragung des Geschäftsbetriebs / der gesponserten Struktur auf Dritte/ Tod des BPs
(1) FREZZOR kann seinen Geschäftsbetrieb ganz oder teilweise oder einzelne Aktiva jederzeit auf Dritte übertragen. Für den Fall, dass der BP mit dem Übergang nicht einverstanden ist und dies FREZZOR unverzüglich mitteilt, wird die vertragliche Zusammenarbeit zum nächstmöglichen Kündigungstermin beendet.
(2) Der BP ist zur Übertragung seiner Vertriebsstruktur frühestens 6 Monate nach vorheriger schriftlicher Zustimmung durch FREZZOR und Vorlage des Kauf- und/oder Übertragungsvertrages mit dem Dritten, wie auch der Vorlage des Brand-Partnerantrages des Dritten an FREZZOR berechtigt, sofern nicht FREZZOR von seinem zustehenden Vorkaufsrecht Gebrauch gemacht hat. Die Übertragung der Vertriebsstruktur ist nur an Personen möglich, die zum Zeitpunkt der Übertragung nicht BP bei FREZZOR sind. Sofern ein BP in der Vergangenheit BP von FREZZOR war, muss der Vertrag zum Zeitpunkt der Übertragung seit mindestens 6 Monaten beendet sein. Eine Übertragung oder ein Kauf einer Vertriebsstruktur an BP von FREZZOR hingegen ist nicht erlaubt. Die Zustimmung kann durch FREZZOR, auch, sofern FREZZOR von seinem Vorkaufsrecht keinen Gebrauch macht, nach seinem freien Ermessen verweigert werden. Der BP ist verpflichtet, FREZZOR die beabsichtigte Übertragung seiner Vertriebsstruktur schriftlich mitzuteilen und anzuzeigen. FREZZOR hat nach Eingang der schriftlichen Anzeige 15 Tage Zeit, von ihrem Vorkaufsrecht Gebrauch zu machen. Geschieht dies nicht, so ist die Übertragung zu denselben Konditionen des Übertragungsangebotes an FREZZOR zulässig, außer es stehen anderweitige wichtige Gründe entgegen. Ein Verkauf ist nur im ungekündigten Verhältnis möglich. Bei fristloser Kündigung oder einem Verstoß gegen diese Allgemeinen BP - und Lieferbedingungen entfällt das Recht des BP s zum Verkauf der eigenen Vertriebsorganisation ebenso wie für den Fall, dass der verkaufende BP FREZZOR noch Geld schuldet, gegen den BP ein Insolvenzverfahren eröffnet wurde, oder die Eröffnung mangels Masse abgelehnt wurde, oder der BP sonst zahlungsunfähig ist, oder im Rahmen der Zwangsvollstreckung eine eidesstattliche Versicherung über die Zahlungsunfähigkeit abgegeben hat. Durch die Übertragung der Vertriebsstruktur endet der Vertrag zwischen den Parteien.
(3) Sofern als BP eine juristische Person oder Personengesellschaft registriert ist, ist eine Übertragung der Vertriebsstruktur nur unter Einhaltung der weiteren Voraussetzungen dieses Vertrages zulässig.
(4) Sofern eine neue als BP registrierte juristische Person oder Personengesellschaft einen neuen Gesellschafter aufnehmen will, ist dies nur nach vorheriger schriftlicher Zustimmung, die im freiem Ermessen von FREZZOR steht, zulässig. Wird diese Vorgabe nicht eingehalten, so behält FREZZOR sich die außerordentliche Kündigung des Vertrages der als BP registrierten juristischen Person oder Personengesellschaft vor.
(5) Der Brand-Partnervertrag endet spätestens mit dem Tode des BP s. Der Brand-Partnervertrag kann unter Einhaltung der gesetzlichen Voraussetzungen vererbt werden. Mit dem/den Erben muss grundsätzlich innerhalb von 6 Monaten, dann ein neuer Brand-Partnervertrag geschlossen werden, durch den er/sie in die Rechte und Pflichten des Erblassers eintritt/eintreten. Der Tod ist durch Sterbeurkunde zu belegen. Sofern es ein Testament über die Vererbung des Brand-Partnervertrages gibt, ist eine notariell beglaubigte Kopie des Testaments vorzulegen. Nach ungenutztem Verstreichen der Sechs-Monats-Frist gehen alle Rechte und Pflichten aus dem Vertrag auf FREZZOR über. Ausnahmsweise verlängert sich die Sechs-Monats-Frist um eine angemessene Länge, sofern sie im Einzelfall unverhältnismäßig kurz für den/die Erben ist.

10 Haftungsausschluss
(1) Für andere als durch Verletzung von Leben, Körper und Gesundheit entstehende Schäden haftet FREZZOR lediglich, soweit diese auf vorsätzlichem oder grob fahrlässigem Handeln, oder auf schuldhafter Verletzung einer wesentlichen Vertragspflicht (z.B. Zahlung der Provision) durch FREZZOR, ihrer Mitarbeiter oder Erfüllungsgehilfen beruhen. Dies gilt auch für Schäden aus der Verletzung von Pflichten bei Vertragsverhandlungen sowie aus der Vornahme von unerlaubten Handlungen. Eine darüber hinaus gehende Haftung auf Schadensersatz ist ausgeschlossen.
(2) Die Haftung ist, außer bei der Verletzung von Leben, Körper und Gesundheit oder vorsätzlichem oder grob fahrlässigem Verhalten von FREZZOR, ihrer Mitarbeiter oder Erfüllungsgehilfen, auf die bei Vertragsabschluss typischer Weise vorhersehbaren Schäden und im Übrigen der Höhe nach auf die vertragstypischen Durchschnittsschäden begrenzt. Dies gilt auch für mittelbare Schäden, insbesondere entgangenem Gewinn.
(3) Für Schäden, gleich welcher Art, die durch Datenverluste auf Computer-Servern entstehen, haftet die FREZZOR Inc. nicht, außer im Falle eines grob fahrlässigen oder vorsätzlichen Verschuldens der FREZZOR, ihrer Mitarbeiter oder Erfüllungsgehilfen. Gespeicherte Inhalte der BP sind für FREZZOR fremde Informationen im Sinne des TMG (Telemediengesetz).
(4) Die Bestimmungen des Produkthaftungsgesetzes bleiben unberührt.

11 Verjährung
Die Ansprüche aus diesem Vertragsverhältnis verjähren in 6 Monaten ab dem Zeitpunkt, zu dem der betreffende Anspruch fällig ist und der Anspruchsberechtigte die Umstände kennt, die seinen Anspruch begründen, bzw. wenn seine Unkenntnis dieser Umstände auf grober Fahrlässigkeit beruht. Unberührt bleiben gesetzliche Regelungen, die eine längere Verjährungsfrist zwingend vorsehen.

12 Einbeziehung des Vergütungsplans
(1) Der FREZZOR-Vergütungsplan und die darin enthaltenen Vorgaben sind ebenfalls ausdrücklich Bestandteil des Brand-Partnervertrages. Der BP muss diese Vorgaben gemäß der jeweils gültigen Fassung stets einhalten.
(2) Mit der Versendung des Antrages, online oder schriftlich, an FREZZOR versichert der BP zugleich, dass er den FREZZOR-Vergütungsplan zur Kenntnis genommen hat und diesen als Vertragsbestandteil akzeptiert.
(3) FREZZOR ist zu einer Änderung des FREZZOR-Vergütungsplans zu jeder Zeit berechtigt. FREZZOR wird Änderungen des Vergütungsplans mit einer angemessenen Frist von mindestens 30 Tagen ankündigen. Der BP hat das Recht, der Änderung des Vergütungsplans zu widersprechen. Im Falle des Widerspruchs ist der BP berechtigt, den Vertrag zum Zeitpunkt des Inkrafttretens der Änderung zu kündigen. Sofern er den Vertrag binnen vier Wochen nach dem Inkrafttreten der Änderung nicht kündigt, nimmt der BP die Änderung ausdrücklich an.

13 Einwilligung zur Verwendung von fotografischem und audiovisuellem Material, Verwendung der Aufzeichnungen von Materialien und Präsentationen
(1) Der Brand-Partner gewährt FREZZOR unentgeltlich das Recht, fotografisches und/oder audiovisuelles Material mit seinem Bildnis, Stimmaufzeichnungen oder Aussagen und Zitate von ihm im Rahmen seiner Funktion als Brand-Partner zu erfassen bzw. durchzuführen. Insoweit willigt der Brand-Partner durch die Unterzeichnung des Brand-Partnerantrages und der Kenntnisnahme dieser Allgemeinen Brand-Partner- und Lieferbedingungen ausdrücklich in eine Veröffentlichung, Nutzung, Vervielfältigung und Veränderung seiner Zitate, Aufnahmen oder Aufzeichnungen ein.
(2) Es ist dem Brand-Partner nicht gestattet, zum Zwecke des Verkaufs sowie zur persönlichen oder geschäftlichen Verwendung Audio-, Video- oder sonstige Aufzeichnungen von Veranstaltungen, die von FREZZOR gesponsert wurden, sowie von Telefonkonferenzen, Ansprachen oder Meetings, anzufertigen. Ein Brand-Partner darf ferner ohne die vorherige schriftliche Zustimmung von FREZZOR keine Audio- oder Videopräsentationen oder -aufzeichnungen von FREZZOR Veranstaltungen, Ansprachen, Telefonkonferenzen oder Meetings aufzeichnen, anfertigen oder zusammenstellen.

14 Anwendbares Recht / Abweichender Gerichtsstand
(1) Es gilt kalifornisches Recht. Unberührt bleiben zwingende Bestimmungen des Staates, in dem der BP seinen gewöhnlichen Aufenthalt hat.
(2) Der Gerichtsstand und der Erfüllungsort ist der Sitz von FREZZOR. Unberührt bleiben zwingende Bestimmungen des Staates, in dem der BP seinen gewöhnlichen Aufenthalt hat.

15 Schlussbestimmungen /Vorrang der Englishchen Sprache
(1) FREZZOR ist zu einer Änderung der Allgemeinen Brand-Partnerbedingungen zu jeder Zeit berechtigt. FREZZOR wird Änderungen mit einer angemessenen Frist von mindestens 30 Tagen ankündigen. Der BP hat das Recht, der Änderung zu widersprechen. Im Falle des Widerspruchs ist der BP berechtigt, den Vertrag zum Zeitpunkt des Inkrafttretens der Änderung zu kündigen. Sofern er den Vertrag binnen vier Wochen nach dem Inkrafttreten der Änderung nicht kündigt, nimmt der BP die Änderung ausdrücklich an.
(2) Im Übrigen bedürfen Änderungen oder Ergänzungen dieser Allgemeinen Brand-Partnerbedingungen der Schriftform. Dies gilt auch für die Aufhebung des Schriftformerfordernisses.
(3) Die Ausgangssprache ist Englisch. Falls diese Allgemeinen Brand-Partnerbedingungen in eine andere Sprache als übersetzt werden und Widersprüchlichkeiten bei einer beliebigen Bestimmung zwischen der englischen und der übersetzten Version der Allgemeinen Brand-Partnerbedingungen bestehen, gilt stets die englische Version als vorrangig.
(4) Bei Unwirksamkeit oder Unvollständigkeit einer Klausel dieser Allgemeinen Nutzungsbedingungen soll nicht der gesamte Vertrag unwirksam sein. Vielmehr soll die unwirksame Klausel durch eine solche ersetzt werden, die wirksam ist und dem Sinn der unwirksamen Klausel wirtschaftlich am nächsten kommt. Das Gleiche soll bei der Schließung einer regelungsbedürftigen Lücke gelten.
